Terms of Service

Acceptance of Terms
- By accessing or using the Exertia Systems platform, you agree to be bound by these Terms of Service. If you are using the platform on behalf of an organization, you represent that you have authority to bind that organization to these terms.
Service Description
- Exertia Systems provides AI-powered HVAC optimization and predictive failure analytics for commercial buildings. The platform includes real-time telemetry processing, autonomous setpoint optimization, predictive maintenance alerts, energy reporting, and compliance documentation.
- Service tiers: Pilot (single building, up to 2,500 sqm), Enterprise (unlimited data points, 24/7 monitoring), and Multi-Property (custom infrastructure, dedicated support).
Account Registration & Security
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You must provide accurate and complete registration information and keep it updated.
- We reserve the right to suspend or terminate accounts that violate these terms or pose a security risk.
Acceptable Use
- You may not reverse-engineer, decompile, or attempt to extract source code from the platform.
- You may not use the platform to transmit malicious code, overload infrastructure, or circumvent access controls.
- You may not resell or redistribute Exertia platform access without written authorization.
- You agree to comply with all applicable local, national, and international regulations regarding building data and energy management.
Intellectual Property
- The Exertia platform, including AI models, algorithms, software, and documentation, is the intellectual property of Exertia Systems Ltd.
- Your building data remains your property. We grant Exertia a limited license to process this data solely for providing the contracted services.
- Feedback and suggestions provided by users may be used to improve the platform without compensation obligation.
Service Level Agreement (SLA)
- Enterprise and Multi-Property customers receive a guaranteed 99.9% platform uptime SLA.
- Scheduled maintenance windows are communicated at least 72 hours in advance.
- SLA credits: 5% service credit for each hour of downtime exceeding the SLA threshold, capped at 30% of monthly fees.
Payment & Billing
- Fees are billed monthly in advance for Pilot and Enterprise tiers. Multi-Property terms are defined in individual agreements.
- Late payments accrue a 1.5% monthly interest charge after a 10-day grace period.
- Price changes require 60 days advance notice and will not apply to the current billing period.
Limitation of Liability
- Exertia Systems shall not be liable for indirect, incidental, consequential, or punitive damages.
- Total liability is capped at the fees paid in the 12 months preceding the claim.
- Exertia does not guarantee specific energy savings percentages. Savings are estimates based on historical data and may vary.
Termination
- Either party may terminate with 30 days written notice.
- Upon termination, your data will be exported in standard formats within 30 days and deleted from active systems within 90 days.
- Surviving provisions: Intellectual property, limitation of liability, payment obligations, and data ownership.
Governing Law
- These terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved through arbitration under the Lagos Court of Arbitration rules.
